Terms and Conditions for ChaChat App

Last updated: September 18, 2026

These Terms and Conditions of Use (“Terms”) govern your access to and use of ChaChat, including our website, applications, software, features, content, and related services (the “Service”).

The Service is provided by Mynalabs Inc., a company incorporated under the laws of the State of California, United States, with its registered office at 769 Monterey Blvd., Suite #5A, San Francisco, California, 94127, United States (“Company”, “we”, “us”, or “our”).

Please read these Terms carefully before using the Service.

Subscription notice

Certain features of the Service may be available through paid subscriptions that automatically renew until cancelled. Price, billing frequency, trial terms, renewal terms, and other material conditions will be shown before purchase.

Subscription, trial, renewal, billing, and cancellation rules are described in these Terms. Refund rules are described in our Refund Policy.

Deleting the application or stopping use of the Service does not automatically cancel a subscription.

1. Acceptance of Terms

By accessing, registering for, purchasing, downloading, or otherwise using the Service, you confirm that you have read, understood, and agree to these Terms and that you have the legal capacity to enter into this agreement.

If you do not agree to these Terms, do not use the Service.

The following policies also apply where relevant: Privacy Policy and Refund Policy.

We may update these Terms when reasonably necessary because of changes to the Service, law, security requirements, or our operations. Where required by law, we will provide notice of material changes. If a material change adversely affects an existing paid subscription, applicable cancellation or other consumer rights will remain available.

2. Eligibility and account

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service. The Company does not permit those under 18 to use the Service.

If an account is required, you must provide accurate and reasonably current information and keep your account credentials confidential.

You are responsible for activity through your account where attributable to your actions or failure to protect your credentials. If you suspect unauthorized access, contact contact@chachat.app.

3. Service and license

The Service is an AI companion chat application. It lets you converse with AI characters through the ChaChat mobile application, related websites (including https://app.chachat.app), and associated features. Available features may depend on your subscription plan, device, operating system, location, or platform.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Service for its intended purposes.

The Service and its software, designs, interfaces, text, graphics, logos, trademarks, databases, audiovisual materials, and other proprietary content are owned by or licensed to the Company. No ownership rights are transferred to you.

4. Acceptable use

You must use the Service lawfully and must not:

ChaChat implements moderation to keep interactions within our rules. We prohibit content that is unlawful, that sexualizes minors, or that otherwise violates these Terms or our community standards. User inputs and AI-generated outputs may be screened. Repeated attempts to circumvent safeguards may result in suspension or termination.

5. User content

You retain ownership of content you submit through the Service (“User Content”). You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, transmit, and otherwise use User Content only as reasonably necessary to provide, maintain, secure, and operate the Service and as otherwise permitted by our Privacy Policy.

You must have the rights necessary to submit User Content and must not submit content that is unlawful, infringing, malicious, or intentionally deceptive.

For any User Content that includes images, photographs, or representations of real persons, you represent and warrant that all individuals depicted are at least 18 years of age, that you have verified age and identity where required by law (including 18 U.S.C. § 2257 where applicable), and that you have obtained required consent to use their likeness.

The Company may refuse or remove User Content and may limit or revoke access if you post prohibited content. You agree to use the Service at your own risk regarding content posted by you or others.

Although backups may be performed, the Company does not guarantee there will be no loss or corruption of data. You should keep your own copy of any User Content you need to retain.

6. Feedback

If you voluntarily provide feedback, suggestions, ideas, or feature requests, we may use them for lawful business purposes without an obligation to compensate you. This does not transfer ownership of your personal information to us.

7. Third-party services

The Service may link to or rely on third-party websites, applications, software, payment processors, app stores, infrastructure, or other services. Those services may be governed by their own terms and privacy policies.

To the extent permitted by law, we are not responsible for the independent operation, content, security, availability, or policies of third-party services.

8. Subscriptions and payments

Certain features may require payment. Prices and material payment terms will be disclosed before you authorize a purchase.

Payments may be processed directly through our website using third-party payment processors, through the Apple App Store, through Google Play, or through another authorized platform.

Subscriptions may automatically renew until cancelled where this is clearly disclosed before purchase. You will be billed in advance on a recurring basis depending on the plan you select. At the end of each period, your subscription renews under the same conditions unless you or the Company cancel it.

You may cancel renewal through your account settings or by contacting the Company. Deleting the application or stopping use does not cancel a subscription. After a valid cancellation, you may continue to access paid features until the end of the then-current period unless required otherwise by law.

The Company may change subscription fees. A fee change for an existing subscription takes effect at the end of the then-current period. We will provide reasonable prior notice so you can cancel before the change applies. Continued use after the change takes effect constitutes agreement to the modified fee, except where mandatory consumer law provides otherwise.

The Company may offer a free trial. If you provide billing information for a trial, you will not be charged until the trial ends unless you cancel. On the last day of the trial, unless you cancelled, you will be charged the applicable subscription fees.

In-app purchases made through an application store are also subject to that store’s terms. Billing for those purchases is handled by the application store.

Refunds are governed by our Refund Policy and applicable law. Nothing in these Terms limits consumer rights that cannot legally be waived.

If you purchase through the website, the Company is the seller, collects payment through its payment service providers, and handles billing, renewals, cancellations, and refunds in accordance with these Terms and the Refund Policy.

9. Service availability and changes

We may add, modify, replace, suspend, or discontinue features where reasonably necessary for operational, commercial, security, technical, legal, or regulatory reasons.

We do not guarantee that every feature will remain available indefinitely, be available in every jurisdiction, or work on every device or platform.

The Service may occasionally be unavailable because of maintenance, updates, infrastructure failures, security incidents, third-party outages, or events beyond our reasonable control.

10. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Service is provided on an “AS IS” and “AS AVAILABLE” basis.

We do not guarantee that the Service will always be uninterrupted, error-free, secure, suitable for every user, or capable of producing any particular result.

To the fullest extent permitted by law, we disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement. Nothing in this section excludes rights or warranties that cannot legally be excluded.

Unless expressly stated otherwise, information available through the Service is for general informational and entertainment purposes and is not regulated medical, legal, financial, tax, investment, psychological, or other professional advice.

11. Limitation of liability

To the maximum extent permitted by applicable law, the Company and its affiliates, directors, officers, employees, contractors, agents, and licensors will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising out of or relating to the Service.

To the maximum extent permitted by law, our total liability arising out of or relating to the Service or these Terms will not exceed the greater of: (a) the amount you paid to us during the 12 months before the event giving rise to the claim; or (b) 100 USD.

These limitations do not apply where liability cannot legally be excluded or limited, including where applicable in cases involving fraud, fraudulent misrepresentation, gross negligence, wilful misconduct, death or personal injury caused by negligence, or mandatory consumer rights.

12. Suspension and termination

We may suspend or restrict access where reasonably necessary, including for material violations of these Terms, fraud or security risk, non-payment, legal requirements, or conduct that threatens other users, our personnel, or the Service.

Where appropriate and legally required, we may provide notice or an opportunity to remedy the issue before termination.

You may stop using the Service at any time. Deleting your account or stopping use does not automatically cancel an active subscription unless the applicable cancellation process has also been completed.

13. Copyright and intellectual property claims

We respect the intellectual property rights of others. If you believe content on the Service infringes your copyright, send a notice to contact@chachat.app including: your signature; a description of the work; the location of the allegedly infringing material; your contact details; a good-faith statement that the use is not authorized; and a statement under penalty of perjury that the notice is accurate and that you are the owner or authorized to act for the owner.

Upon receipt, the Company may take action it deems appropriate, including removal of the challenged content.

14. International use and trade compliance

You are responsible for ensuring that your use of the Service is lawful in your jurisdiction. We may restrict access where providing the Service would violate applicable law, sanctions, export-control rules, or other legal requirements.

You represent that you are not located in a country subject to a United States government embargo or designated as a “terrorist supporting” country, and that you are not listed on any United States government list of prohibited or restricted parties, except where that representation is not permitted by mandatory local law.

15. Governing law and consumer rights

Except where mandatory consumer law provides otherwise, these Terms are governed by the laws of California, United States, without regard to conflict-of-law principles. Courts located in the State of California, United States will have jurisdiction over disputes not otherwise required to be heard elsewhere by mandatory law.

EEA and UK consumers

If you are a consumer habitually resident in the European Economic Area or the United Kingdom, nothing in these Terms deprives you of protections granted by mandatory laws of your country of residence. You may bring proceedings before courts that have jurisdiction under applicable consumer protection law, including, where applicable, the courts of your habitual residence.

If you have a concern or dispute, you agree to first try to resolve it informally by contacting the Company, without limiting any right to later use courts, alternative dispute resolution, or a consumer authority.

16. Electronic communications

We may communicate with you electronically in connection with the Service, including by email, in-product notifications, account notifications, or website notices, as permitted by applicable law.

Where legally valid, actions such as clicking “Accept”, “Continue”, “Subscribe”, “Purchase”, “Register”, or similar buttons may constitute electronic acceptance of the applicable terms.

17. Apple App Store

If you obtain the Service through Apple’s App Store, these Terms are between you and the Company, not Apple. Apple is not responsible for the Service or its content. The Company, not Apple, is responsible for maintenance, support, warranties, legal compliance, and intellectual property claims to the extent required by applicable law. Apple and its subsidiaries are intended third-party beneficiaries of this section.

18. Google Play

If you obtain the Service through Google Play, your use of the application is also subject to applicable Google Play terms and policies. Where mandatory Google Play terms conflict with these Terms regarding an application distributed through Google Play, the applicable Google Play requirements will govern to the extent required.

19. Miscellaneous

These Terms, together with the policies incorporated by reference, constitute the agreement between you and the Company concerning the Service.

If any provision is invalid or unenforceable, the remaining provisions remain in effect. Failure to enforce a provision does not waive that provision or any other right.

We may assign or transfer our rights and obligations in connection with a merger, acquisition, corporate restructuring, sale of assets, transfer of the Service, or similar transaction, subject to applicable law.

We may use third-party service providers for operational, technical, payment, security, hosting, analytics, customer support, communications, and other functions. Processing of personal information is governed by our Privacy Policy.

To the extent permitted by law, we are not responsible for delay or failure caused by circumstances beyond our reasonable control.

Provisions that by their nature should survive termination will survive, including provisions relating to intellectual property, accrued payment obligations, limitations of liability, and dispute resolution.

If these Terms are translated, the English text prevails in a dispute, except where mandatory law requires otherwise.

If you are a U.S. federal government end user, the Service is a “Commercial Item” as defined at 48 C.F.R. §2.101.
